What is MGT-14?
MGT-14 is the MCA form used to file copies of certain board resolutions and special resolutions with the Registrar of Companies. It must be filed within 30 days of passing the resolution. Key resolutions include approval of financial statements, related party transactions, and change in objects.
Who files it?
All companies (private limited, public limited) must file MGT-14 for specified board resolutions and all special resolutions. Public companies and certain companies with turnover/paid-up capital above thresholds may have additional requirements.
Late Fee & Penalty
Additional fee: ₹100 per day beyond 30 days of the resolution date, with no cap. Company and every defaulting officer can also be penalized under Section 450 of the Companies Act.

Which resolutions require filing of MGT-14?
All special resolutions require MGT-14. Board resolutions for approving financial statements, appointment of managing directors, related party transactions above certain thresholds, and certain other items specified in Section 179 also require MGT-14.
What is the time limit for filing MGT-14?
MGT-14 must be filed within 30 days of passing the resolution. For ordinary resolutions of board meetings, it is event-based. Annual reminders are sent in December.
Is MGT-14 required for private limited companies for all board resolutions?
No. Private companies are exempt from filing MGT-14 for board resolutions under Section 179(3) of the Companies Act, 2013 as per the Companies (Amendment) Act, 2015. However, all special resolutions still require filing.
What happens if MGT-14 is not filed?
The company and every officer in default can face a penalty of ₹50,000 plus ₹500 per day continuing beyond 30 days, up to ₹5 lakh.
